Terms & Conditions

Welcome to Moolw. By purchasing a web design plan, issuing a deposit, or engaging our services, you (“Client”, “you”, or “your”) agree to be bound by these Terms & Conditions (“Terms”) and our Refund Policy. Please read them carefully before initiating any project with Moolw (“we”, “us”, or “our”).

1. Acceptance of Terms

By placing an order, submitting payment, or signing a service proposal with Moolw, you acknowledge that you have read, understood, and agreed to these Terms & Conditions as well as our Refund Policy. If you do not agree with any part of these terms, you must not proceed with purchasing our services.

2. Service Plans & Scope of Work

Moolw provides professional custom web design, development, and digital services based on the plan or package selected by the Client.
* Included Scope: Each service plan includes specific features, page limits, revision rounds, and technical deliverables as outlined in the service agreement or plan description at the time of purchase.
* Out of Scope (Additional Work): Any feature, functionality, extra page, or design request not explicitly included in the agreed plan will be considered “Additional Work.” Additional Work requires a separate quote, additional fees, and may extend the project timeline.

3. Project Commencement & Refund Policy

Work Commencement: Project-specific work begins immediately upon payment receipt and/or submission of the Website Preparation Form. Work includes, but is not limited to: project strategy, research, wireframing, UI/UX design, development, content setup, and technical configuration.
Integrated Refund Terms: All cancellations, refund requests, and payment adjustments are strictly governed by Moolw’s Refund Policy.
Before Work Commences: Eligible for cancellation review subject to incurred administrative or third-party costs.
After Work Commences: If the Client cancels the project after work has commenced, Moolw will refund 50% of the total payments made toward the project. The remaining 50% is retained by Moolw to cover allocated professional time, creative work, technical setup, and resource reservation.
Non-Refundable Expenses: Third-party costs already incurred (e.g., domain registrations, hosting setups, premium plugins, stock licenses) will be deducted prior to issuing any eligible refund.

4. Payment Terms & Billing

Payment Structure: Payments must be made according to the agreed structure (e.g., 50% upfront deposit and 50% prior to final website launch/transfer, or full upfront payment depending on the plan).
Final Delivery & Launch: Full ownership transfer, administrative access, and website launch/migration to the Client’s live domain will occur only after all outstanding balances are settled in full.
Late Payments & Invoices: Invoices not paid within three (3) business days of the due date may result in an immediate pause on project work until all accounts are brought current.

5. Client Responsibilities & Project Delays

Content & Credentials: The Client is responsible for providing all necessary website content (text, images, branding materials, logos, credentials, and access permissions) in a timely manner.
Communication & Timelines: Estimated completion dates rely on prompt communication from the Client.
Inactive Projects: If a project remains inactive for more than thirty (30) consecutive days due to the Client’s failure to provide required feedback, assets, or approvals, Moolw reserves the right to archive the project. Reactivating an archived project may incur a Reactivation Fee and is subject to Moolw’s current scheduling availability.

6. Revisions & Design Approvals

* Included Revisions: Each plan includes a designated number of revision rounds as specified in your plan details.
* Revision Definition: Revisions apply to reasonable adjustments and refinements of existing design elements within the agreed scope. Revisions do not cover fundamental changes in project direction, complete layout redesigns after initial approval, or new functional requirements.
* Final Approval: Once final design approval is granted by the Client, subsequent change requests will be billed under maintenance or additional work rates.

7. Domains, Hosting & Third-Party Services

* Client Ownership: Unless explicitly provided as part of a Moolw managed plan, the Client is responsible for maintaining their own domain registration, web hosting, and third-party service accounts.
* Third-Party Limitations: Moolw is not liable for service interruptions, server downtimes, domain expirations, policy updates, price changes, or technical failures caused by third-party providers (e.g., hosting providers, domain registrars, payment gateways, plugin developers).
* Third-Party Licensing: Any recurring subscription or licensing fees for third-party tools required for the website remain the financial responsibility of the Client.

8. Intellectual Property & Portfolio Rights

* Client Ownership Transfer: Full intellectual property rights to the final customized visual design and code created specifically for the Client are transferred to the Client only upon receipt of full and final payment.
* Moolw Retained Rights: Moolw retains ownership of pre-existing tools, proprietary frameworks, unapproved preliminary concepts, and underlying open-source components.
* Portfolio Rights: Moolw reserves the right to display the completed website design, screenshots, and project case studies in our online portfolio, social media, and promotional materials, unless a separate written Non-Disclosure Agreement (NDA) or White Label agreement is executed prior to project kickoff.

9. Project Termination

* Termination by Client: The Client may request to terminate the project at any time by written notice. Refunds upon termination will be processed strictly in accordance with Section 3 of these Terms and Moolw’s Refund Policy (50% refund after work commencement, less non-refundable third-party expenses).
* Termination by Moolw: Moolw reserves the right to terminate the project and agreement immediately if the Client commits a material breach of these Terms, engages in unlawful activity, fails to make payments, or exhibits persistently abusive or unprofessional conduct toward Moolw staff.

10. Limitation of Liability & Warranties

* Disclaimer: Services are provided on an “as is” and “as available” basis. While Moolw strives for high quality and standards, we do not guarantee specific business outcomes, search engine rankings, sales, or traffic numbers.
* Limitation of Liability: To the maximum extent permitted by applicable law, Moolw shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, data, or business opportunity) arising out of or related to the website or services provided.
* Total Cap: Moolw’s aggregate liability for any claim arising out of these Terms or services rendered shall not exceed the total amount actually paid by the Client to Moolw for the specific project in question.

11. Dispute Resolution & Governing Law

* Direct Resolution: If you have any concerns or disputes regarding your project or invoice, you agree to contact Moolw directly first to attempt an amicable resolution in good faith.
* Governing Law: These Terms & Conditions shall be governed by and construed in accordance with applicable legal frameworks, without regard to conflict of law principles.

12. Updates to Terms

Moolw reserves the right to modify or update these Terms & Conditions at any time. Updated versions will be posted on our website with a revised “Last Updated” date. Continued engagement with our services following updates constitutes acceptance of the modified Terms.
